Services
ModSuite provides digital services including web development, UI/UX design, SEO, advertising, hosting, and maintenance. The specific scope, deliverables, timelines, and fees for each project will be outlined in a separate agreement or statement of work. By engaging our services, you agree to the terms outlined in that agreement in addition to these Terms of Service.
Account Registration
To access certain features, you may need to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must provide accurate, current, and complete information and promptly update it as necessary.
Payments & Billing
Fees for services are as agreed upon in your project agreement. Payments are due according to the schedule specified. Late payments may incur additional charges. All fees are exclusive of applicable taxes, which you are responsible for paying. We use third-party payment processors and do not store your full payment card details.
Intellectual Property
Upon full payment, we grant you ownership of the final deliverables created specifically for your project, unless otherwise agreed. ModSuite retains the right to display completed work in our portfolio. We do not claim ownership of your trademarks, logos, or existing brand assets. You may not reproduce, distribute, or modify our proprietary tools, frameworks, or methodologies without our written consent.
Client Responsibilities
You agree to provide timely feedback, necessary access, and required materials to enable us to complete the project. Delays caused by failure to meet these responsibilities may affect project timelines and may result in additional charges.
Confidentiality
Both parties agree to keep confidential any non-public information shared during the course of the engagement. This obligation survives the termination of our agreement. Confidential information does not include information that is publicly available, already known, or independently developed.
Limitation of Liability
To the maximum extent permitted by law, ModSuite's total liability for any claim arising from our services is limited to the amount paid by you for the specific project giving rise to the claim. We are not liable for any indirect, incidental, special, or consequential damages, including lost profits, data loss, or business interruption.
Termination
Either party may terminate a project agreement in accordance with its terms. Upon termination, you are responsible for payment for work completed up to the termination date. Sections regarding intellectual property, confidentiality, and limitation of liability survive termination.
Prohibited Uses
You may not use our website or services for any unlawful purpose, to solicit others to perform unlawful acts, to violate any regulations, to infringe upon our intellectual property rights, or to transmit harmful code. We reserve the right to terminate service for violation of these prohibitions.
Changes to Terms
We may modify these Terms of Service at any time. Changes take effect upon posting. Your continued use of our services after changes constitutes acceptance of the modified terms. We will provide notice of material changes via email or a prominent notice on our website.
Governing Law
